The rules that govern your use of Global Produce Index.

1. Acceptance of these terms
By creating an account, accessing, or using Global Produce Index (the "Service"), you agree to be bound by these Terms of Use ("Terms") on behalf of yourself and the company you represent. If you do not agree, do not use the Service. If you are entering into these Terms on behalf of a company, you confirm you have the authority to bind that company.
2. Eligibility and business use only
Global Produce Index is a business-to-business platform. You must be at least 18 years old, act on behalf of a legitimate business, and provide accurate registration and company information, including for identity and company (KYC) verification. Accounts found to contain false, misleading, or fraudulent information may be suspended or terminated.
3. Description of the service
Global Produce Index provides market price intelligence, a directory of verified importers and exporters, and tools to post Requests for Quotation (RFQs) and submit or negotiate Quotes. Global Produce Index is an information and matchmaking platform only. We are not a party to, broker of, agent for, or guarantor of any transaction, shipment, or agreement formed between users, and we do not take title to, inspect, or handle any physical goods.
4. Account registration and verification
You are responsible for maintaining the confidentiality of your account access and for all activity under your account. Company accounts may require submission of business and KYC documents for verification before certain features (such as posting RFQs, submitting quotes, or accessing paid market data) are enabled. We may decline, suspend, or revoke verification at our discretion where information cannot be confirmed or appears fraudulent.
5. Subscriptions, fees, and billing
Certain market data and platform features require an active subscription. Subscription plans, pricing, and billing periods are as described on our pricing page at the time of purchase. Depending on the plan and configuration, a subscription may be activated after manual review by our team or, where self-serve checkout is enabled, through our payment processor (Stripe). Unless stated otherwise, subscriptions renew automatically for successive billing periods until cancelled; you may cancel at any time, effective at the end of the current billing period. Fees are non-refundable except where required by law or expressly stated at the time of purchase. Complimentary or promotional access may be modified or revoked at our discretion.
6. RFQs, quotes, and marketplace conduct
Any RFQ, quote, negotiation, or resulting agreement between users is a matter solely between those users. You are solely responsible for verifying the identity, legitimacy, and terms offered by any counterparty, and for the legality, quality, pricing, and performance of any resulting transaction. Global Produce Index does not guarantee that any RFQ will receive quotes, that any quote is accurate or will be honored, or that any counterparty will perform its obligations. You must provide accurate information in any RFQ or quote and must not use the Service to circumvent applicable export, import, sanctions, or customs laws.
7. Market data and third-party content
Market price data provided through the Service is aggregated for informational and commercial reference purposes and is subject to our Market Data Disclaimer. It should not be treated as a guaranteed price, offer, or investment or trading advice, and may not reflect real-time or fully accurate conditions. You are responsible for independently verifying commercial terms before relying on any data or entering into a transaction.
8. Acceptable use
You agree not to: misrepresent your identity, company, or products; upload false or fraudulent verification documents; scrape, harvest, or bulk-extract data from the Service beyond your subscription entitlement; interfere with or disrupt the Service's security or availability; use the Service for spam, harassment, or unsolicited solicitation; or use the Service in violation of applicable law, including export control and anti-corruption laws. We may investigate and take action, including suspension or termination, in response to suspected violations.
9. Intellectual property
Global Produce Index and its licensors retain all rights, title, and interest in the Service, including its software, design, trademarks, and aggregated/derived market data. You retain ownership of the company, product, and trade content you submit, and you grant Global Produce Index a licence to host, display, and use that content solely to operate and improve the Service.
10. Third-party services
The Service integrates third-party providers, including payment processing (Stripe), email and messaging delivery, and mapping services. Your use of features backed by these providers may also be subject to their own terms and privacy policies. We are not responsible for the acts or omissions of independent third-party providers.
11. Confidentiality of business information
Information you exchange with other users through RFQs, quotes, and messaging is visible to the counterparties involved in that exchange as part of the Service's core functionality. Global Produce Index does not independently verify or control how counterparties use information shared with them, and you should exercise appropriate commercial discretion, including your own confidentiality arrangements, when sharing sensitive business information.
12. Disclaimers
The Service is provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or that market data will be complete or accurate. Nothing in these Terms excludes liability that cannot be excluded under applicable law.
13. Limitation of liability
To the maximum extent permitted by applicable law, Global Produce Index will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or business opportunity, arising from or related to your use of the Service or any transaction between users, even if advised of the possibility of such damages. Our total aggregate liability for any claim arising from these Terms or the Service will not exceed the amount you paid us in the twelve (12) months preceding the claim.
14. Indemnification
You agree to indemnify and hold harmless Global Produce Index, its officers, employees, and agents from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising from your use of the Service, your breach of these Terms, or any transaction or dispute with another user.
15. Suspension and termination
We may suspend or terminate your access to the Service, with or without notice, if we reasonably believe you have violated these Terms, provided false information, posed a security or legal risk, or upon your request to close your account. You may stop using the Service at any time; certain provisions of these Terms (including Sections 9, 11–14, and 16) survive termination.
16. Governing law and disputes
These Terms are governed by the laws of [governing law jurisdiction — to be confirmed by Global Produce Index's legal counsel], without regard to conflict-of-law principles, and any disputes will be subject to the courts or arbitration forum specified there. This section is a placeholder pending confirmation of Global Produce Index's registered operating entity and jurisdiction.
17. Changes to these terms
We may update these Terms from time to time. We will post the updated version on this page with a revised "Last updated" date, and for material changes we will provide additional notice before the change takes effect. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.

These Terms are a substantive draft prepared to reflect the platform's actual functionality (subscriptions, RFQ/quote marketplace, KYC verification) and standard B2B SaaS/marketplace practice. The governing-law section and registered entity details must be completed, and the whole document reviewed, by qualified legal counsel before being treated as final, binding copy.
